Constitution of the South African Automotive Industry Export
Council
1. NAME
The name of the Council shall be the Automotive Industry Export
Council (hereinafter referred to as the Council).
2. OBJECTS
The purpose and objects of the Council shall be:
- To function as an export forum, through which its members
may discuss issues of common interest and develop appropriate positions and projects
to promote and safeguard the Automotive Industry's export activities;
- To initiate closer interaction and liaison between
the Department of Trade and Industry (DTI) and exporters in the South African automotive
industry, to build trust and establish more effective lines of communication between
the private sector and the Directorate : Export Trade Promotion;
- To identify key Automotive Industry export capabilities,
key competitive and potentially competitive Automotive products as well as foreign
market opportunities on behalf of the South African Automotive Industry and to determine
key priorities in the export development thereof;
- To increase export awareness and establish an export
culture in the South African automotive and associated industries;
- To provide a platform for government and the automotive
industry to jointly develop and manage a more focussed global strategy for export
development;
- To utilise the platform provided by the Council to
assist and train Small, Medium and Micro Enterprises (SMME's) to enter and compete
in export markets;
- To collect, study and disseminate, for the benefit
of its members, information relevant to the exports of motor vehicles and components
and to initiate appropriate action aimed at reducing and overcoming identified obstacles
and improving export opportunities. In addition, the Council will, wherever appropriate,
promote new investment and job creation;
- To consider legislation, regulations and other Government
measures (including taxation and documentation) in importing countries in respect
of the imporation and distribution of motor vehicles and components;
- To consider customs, distributive organisation and
practices in the motor trade of importing countries;
- To consider South African legislation, regulations
and other governmental measures (including certification, documentation and taxation)
in respect of the export of motor vehicles and components;
- To consider modes and costs of transportation and insurance
of motor vehicles and components to export markets;
- To study any other aspect impeding or promoting motor
vehicles and component export prospects;
- To take such steps as may be required from time to
time in the interest of its members towards the maintenance and expansion of their
exports of motor vehicles and components;
- To consider the impact of free trade and/or other economic
block proposals, including South African Development Community (SADC), on the exports
of motor vehicles and components;To appoint industry representatives to serve on
the National Export Advisory Committee (NEAC).
3. POWERS
The Council shall in pursuance of its objects be empowered to:
- To consider applications for membership of the Council;
- To receive or accept membership fees, donations, bequests
or any other benefit from any person or body of persons;
- To open a banking account and to invest funds of the
Council;
- To acquire, dispose of, and in any other manner whatsoever
deal in, property whether movable or immovable;
- To appoint, dismiss and remunerate any officials, whether
full-time or part-time;
- To appoint sub-committees to perform any specific task
referred to it by the Council;
- To lend and borrow money and secure the repayment thereof
by mortgage hypothecation debentures, debenture bonds or pledge of any of the assets
of the Council, movable or immovable;
- To organise, co-ordinate or arrange any meeting or
conference, including also travel and lodging arrangements of any delegates to such
meeting conference or convention;
- To seek and accept membership of any national or international
association or body with a view to broader collaboration aimed at achieving its
objectives;
- To do everything necessary to properly fulfil the objectives
of the Council.
4. LEGAL PERSONALITY
The Council shall be a legal person and the liability of its members for debts of
the Council shall be limited to the unpaid portion af any membership or other fees
which each member may from time to time be required to pay in terms of the constitution.
5. MANAGEMENT
The functions of the Council shall be performed and its business shall be managed
by an Exective Committee of not more than ten members.
Members in good standing financially will have the right to nominate representatives
for appointment to the Executive Committee.
